www.claydunnnd.com Effective Date: 9/20/26 Last Updated: 9/20/26
These Terms and Conditions ("Terms") govern your access to and use of www.claydunnnd.com (the "Site") and any related content, programs, materials, and services offered by Still Waters Coaching LLC ("we," "us," or "our").
By accessing the Site, subscribing to our communications, purchasing a program, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
We recommend you save or print a copy of these Terms for your records.
Your use of the Site is also governed by our Privacy Policy, which explains what information we collect and how we use it. The Privacy Policy is incorporated into these Terms by reference.
When you visit the Site, submit a form, or send us email, you are communicating with us electronically. You consent to receive communications from us electronically, and you agree that all notices, disclosures, agreements, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Program description and message types. If you provide your mobile phone number and opt in to receive text messages, you consent to receive SMS and MMS messages from Still Waters Coaching LLC at that number. Depending on which program you opt into, messages may include:
Customer care and conversational messages — responses to inquiries you submit through the Site, consultation requests, and follow-up regarding your questions;
Appointment and scheduling messages — coaching session confirmations, reminders, reschedules, and cancellations;
Account and transactional messages — enrollment confirmations, payment receipts, failed-payment notices, and program access information;
Coaching support messages — check-ins, accountability prompts, and session-related follow-up as part of an active coaching engagement;
Marketing and promotional messages — information about programs, workshops, events, and offers, sent only if you separately opted in to marketing messages.
Consent. You will only receive text messages from us if you affirmatively opt in — by submitting a form on the Site with the messaging consent checkbox selected, by texting us first, or by providing written consent during onboarding. Consent to receive marketing text messages is not a condition of purchasing any program or service.
Message frequency. Message frequency varies based on your interaction with us and the programs you are enrolled in. You can expect up to approximately [NUMBER] messages per month.
Message and data rates. Message and data rates may apply. Your mobile carrier may charge you for messages sent to and received from us according to your plan. Please contact your wireless provider for details about your plan and any applicable charges.
How to opt out. You may cancel text messages at any time by replying STOP to any message you receive from us. After you send STOP, we will send one final message confirming that you have been unsubscribed, and you will receive no further texts from that program. If you want to rejoin later, sign up again through the Site or text START and we will resume sending messages.
You may also opt out by emailing [email protected] with your mobile number and a request to be removed.
How to get help. Reply HELP to any message for assistance, or contact us at [email protected]. Support is also available at the contact information in Section 22.
Carrier liability disclaimer. Mobile carriers are not liable for delayed or undelivered messages. Delivery of text messages is subject to effective transmission by your wireless carrier and is outside our control. We do not guarantee that messages will be delivered, will be delivered on time, or will be free of errors, and we are not responsible for delayed or undelivered messages.
Age requirement. You must be at least 18 years old and be the account holder of, or have authorization from the account holder of, the mobile number you provide in order to opt in to our text messaging program.
Privacy. Information you provide in connection with our text messaging program is handled in accordance with our Privacy Policy. We will not sell, rent, or share your mobile opt-in information or consent with third parties for their own marketing purposes. Mobile information may be shared only with service providers who help us operate the messaging program, and those providers are prohibited from using it for any other purpose.
Supported carriers. Our messaging program is supported by major U.S. wireless carriers. Carrier support may change and is not guaranteed.
Our services are intended for adults. You must be at least 18 years old to purchase a program, enter into a coaching agreement with us, or opt in to our text messaging program. If you are between 13 and 18, you may use the Site only with the involvement and permission of a parent or legal guardian.
We do not knowingly collect personal information from anyone under the age of 13. If you believe a child under 13 has provided us with personal information, please contact us at [email protected] and we will delete it.
If the Site provides account access, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You may not share, assign, or transfer your account or program access to any other person. Coaching programs and digital materials are licensed to you individually.
Please notify us promptly at [email protected] if you believe your account has been accessed without your authorization. We are not responsible for losses resulting from unauthorized use of your account where that use was not caused by us.
We reserve the right to refuse service, suspend or terminate accounts, and remove or edit content at our discretion.
Our coaching services are educational and supportive in nature. Please read this section carefully.
Coaching is not therapy, medical care, or mental health treatment. We are not a licensed physician, psychologist, psychiatrist, therapist, dietitian, or other licensed healthcare provider, and nothing we provide constitutes medical advice, psychological treatment, diagnosis, or the treatment of any condition, including burnout, ADHD, autism, anxiety, or depression.
Coaching does not replace professional care. You should consult a qualified healthcare professional regarding any medical or mental health concern, and you should never disregard or delay seeking professional advice because of something discussed in a coaching session or found in our materials.
You remain responsible for your own decisions. Coaching is a collaborative process. You retain full responsibility for the choices you make, the actions you take or do not take, and the outcomes that result.
No guarantee of results. We do not guarantee any particular outcome, result, income, health improvement, or level of success. Any examples, testimonials, or case studies shared on the Site reflect individual experiences and are not a promise or prediction of your results. Results depend on many factors outside our control, including your own effort, circumstances, and consistency.
Emergencies. Our services are not an emergency or crisis service. If you are experiencing a medical or mental health emergency, contact emergency services or a crisis line immediately.
Prices for programs and services are as stated at the time of purchase. You agree to pay all amounts due, including any applicable taxes.
If you enroll in a payment plan, you authorize us to charge your payment method on the agreed schedule until the balance is paid in full. You are responsible for keeping your payment information current. Missed or failed payments may result in suspension of access until the account is brought current.
Cancellation and refunds: To request a cancellation or refund, contact us at [email protected].
Where you have signed a separate coaching agreement or program enrollment agreement with us, that agreement controls the specific terms of your engagement, and these Terms apply to everything not addressed there.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and any materials provided to you as part of a program, solely for your own personal, non-commercial use.
All content on the Site and within our programs — including text, graphics, logos, images, video, audio, worksheets, frameworks, methodologies, curricula, and the selection and arrangement of that content — is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not:
Copy, reproduce, republish, distribute, or publicly display our content except as expressly permitted;
Sell, license, sublicense, or otherwise commercialize our content;
Create derivative works from our content, or teach, coach, or train others using our frameworks or materials without our prior written permission;
Record, transcribe, or share coaching sessions, group calls, or community discussions without our prior written consent;
Remove or alter any copyright, trademark, or attribution notices.
You retain ownership of any content you submit to us. By submitting content (for example, testimonials, community posts, or materials shared during coaching), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with operating and promoting our services. You may withdraw permission for promotional use of your testimonial at any time by contacting us.
You agree not to use the Site or our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Site, interfere with another user's use of it, or attempt to gain access to any system, data, or materials not intentionally made available to you.
In group programs and community spaces, you additionally agree to treat other participants with respect, to keep other participants' personal disclosures confidential, and to refrain from harassment, discrimination, spam, or solicitation. We may remove you from a community or program for violating these standards.
We treat what you share in coaching sessions as confidential and will not disclose it without your permission, except where disclosure is required by law, is necessary to prevent serious harm to you or another person, or is reasonably necessary to establish or defend a legal claim.
Please note that because we are not a licensed healthcare provider, communications with us are not protected by legal privileges such as doctor-patient or therapist-patient privilege.
The Site may contain links to third-party websites or rely on third-party services (for example, payment processors, scheduling tools, video conferencing, SMS providers, or course platforms). We do not control those sites and services and are not responsible for their content, policies, or practices. Links are provided for convenience and do not imply endorsement.
Your use of a third-party service is governed by that provider's own terms and privacy policy. By using a service we provide through a third party, you acknowledge that we may share the information necessary for that provider to deliver the service to you.
The Site and all content, programs, and services are provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any information on it is accurate, complete, or current. Content may contain inaccuracies or typographical errors, and we may make changes at any time.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of the Site or our services — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or our services will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you. If you are dissatisfied with the Site or these Terms, your sole and exclusive remedy is to stop using the Site.
You agree to indemnify, defend, and hold harmless Still Waters Coaching LLC and its owner, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or services, any content you submit, your violation of these Terms, your violation of the rights of a third party, or your violation of any applicable law.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us.
Informal resolution first. If a dispute arises, you agree to contact us at [email protected] and attempt to resolve it informally for at least thirty (30) days before initiating formal proceedings.
Binding arbitration. If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or our services will be resolved by final and binding arbitration under the Federal Arbitration Act, conducted by a single neutral arbitrator administered by the American Arbitration Association under its consumer arbitration rules, in Longmont, CO or another location we mutually agree to. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.
Individual claims only. Claims must be brought individually and not as a plaintiff or class member in any class, collective, or representative proceeding.
Fees. In any arbitration or legal proceeding arising out of these Terms, the prevailing party is entitled to recover its reasonable costs and attorneys' fees, to the extent permitted by law.
This section survives termination of these Terms.
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. Subject to the arbitration provision above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Boulder County, CO for any dispute not subject to arbitration.
We may suspend or terminate your access to the Site, a program, or any portion of our services at any time, at our discretion, including for violation of these Terms. Where you have a separate coaching or enrollment agreement, its termination provisions apply to your program access.
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
No partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will stay in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Entire agreement. These Terms, together with our Privacy Policy and any separate coaching or enrollment agreement you have signed with us, constitute the entire agreement between you and us regarding the Site and our services, and supersede any prior communications or proposals.
Compliance with law. Nothing in these Terms limits our right to comply with governmental, court, or law enforcement requests relating to your use of the Site.
Language. These Terms and all related documents are written in English.
Force majeure. We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control.
The Site is operated from the United States. If you access it from elsewhere, you do so on your own initiative and are responsible for complying with your local laws. You agree not to use our content in any country or manner prohibited by applicable law.
We may update these Terms at any time. The most current version will always be posted on this page with a revised "Last Updated" date and supersedes all previous versions. Material changes will be communicated where reasonably practical. Your continued use of the Site or our services after changes take effect constitutes acceptance of the updated Terms.
